This documentation is provided for informational purposes only and does not constitute an offer to sell or a solicitation of an offer to purchase any securities or financial products. Any offer is made solely pursuant to the Subscription Agreement, which contains the complete terms and conditions.

## Eligible Investors Only

iBTCY is available exclusively to **Professional and Qualified Investors** as defined under applicable securities laws.

**Minimum Subscription:** 100,000 USD equivalent in BTC

## Not Available To

  The following persons are NOT eligible to invest in iBTCY:

  1. **US Persons** (as defined under Regulation S of the US Securities Act of 1933) and any person acting for the account or benefit of a US Person
  2. **Persons located in or resident in the United States**
  3. **Persons in the British Virgin Islands**
  4. **Persons in Sanctioned Jurisdictions** (Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, Donetsk, and Luhansk regions of Ukraine)

  No directed selling efforts are made in the United States.

* Investors may lose all or substantially all of their investment
* Target returns (4-6% net annualized, BTC-denominated) are NOT guaranteed
* Actual returns may be significantly lower, zero, or negative
* Redemptions may be delayed or suspended
* There is limited secondary market liquidity

## Unsecured Obligation

**HOLDERS OF iBTCY ARE UNSECURED CREDITORS OF THE ISSUER.**

* In an insolvency, holders may recover less than their investment or nothing at all
* Holders have no ownership interest, security interest, or proprietary claim in or to the underlying assets
* The Notes are not secured by any collateral
* There is no third-party guarantee

## Nature of the Product

**iBTCY is NOT:**

* A stablecoin
* A deposit or bank account
* A fund unit or equity interest
* An ownership interest in underlying assets
* An insured or guaranteed product

**BTCY** (the ERC-4626 wrapper) is a technical wrapper over iBTCY and does not constitute a separate issuer obligation.
